MANAGEMENT OF THE ASSOCIATION

Management of the Association is defined in section 4 of the Statutes.

MANAGEMENT BODIES:

  • General Meeting of Members;
  • one-person management body of the Association – President;
  • collegial management body of the Association – Presidium.

GENERAL MEETING OF MEMBERS

The General Meeting of Members may take decisions when more than 2/3 of the members of the Association attend it. One member has one vote in the General Meeting of Members. The Association’s President shall chair the General Meeting of Members.

The General Meeting of Members shall:

  • shall amend the statutes of the Association;
  • appoint (elect) and recall members of the Presidium;
  • appoint (elect) and recall a President;
  • fix the amount of initial contributions of members of the association and the amount of membership fees, the procedure for paying them;
  • approve a set of annual financial statements of the Association;
  • make a decision regarding reconstructing or termination (reorganization or liquidation) of the Association;
  • make a decision regarding establishment of other legal entities or becoming a member of other legal entities;
  • solve other issues assigned to its competence by the Law on Associations or the Statutes.

PRESIDENT

A president shall be elected for the period of 4 years and recalled by the General Meeting of Members.

The President shall:

  • act in the name of the Association;
  • convene and chair the General Meetings of Members of the Association and meetings of the Presidium;
  • be responsible for implementation of the Association’s objectives;
  • employ and dismiss employees and enter into employment contracts with them;
  • prepare a report on annual activities of the Association and a set of financial statements and submit data to the manager of the Register of Legal Entities;
  • implement resolutions of the General Meeting of Members;
  • analyse and implement proposals and decisions of the Presidium;
  • carry out other functions provided in the Statutes.

PRESIDIUM

A Presidium shall be elected for the period of 4 years and recalled by the General Meeting of Members.

The Presidium shall have 9 (nine) members. 8 (eight) members shall be elected and the President shall be the ninth member and the chairman of the Presidium.

Natural persons may be members of the Presidium. At least 5 (five) of the Presidium’s members (excluding the President) shall be elected from the candidates proposed by the Association’s founders.

1/3 of the Presidium’s members shall be re-elected every 2 years.

The Presidium shall make decisions in its meetings. The Presidium’s meetings shall be convened by its chairman.

The Presidium shall:

  • represent the Association between general meetings.
  • analyse the Association’s performance results and use of financial resources.
  • make decisions regarding admission of new members (a new member is admitted if all the members of the Presidium approve), suspension of the member’s rights and decisions regarding proposal for the General Meeting of Members to expel certain member;
  • consider issues raised by the Presidium’s members, the Association’s members and the President;
  • determine an organizational structure of the Association, jobs of employees, approve salaries of employees and their payment procedure;
  • implement resolutions of the General Meeting of Members;
  • analyse and establish policy and guidelines of the Association’s activities;
  • suggest a president’s candidacy to the General Meeting of Members;
  • solve other issues on the Association’s activities within the Presidium’s competence.

The Presidium’s work organization, its tasks and functions, and members and rights of the Presidium’s members shall be established in the Work regulation of the Presidium.

STRUCTURE
